Open Call for Nominations for GRI’s Board
The open call for Board nominations runs for a two-month period, from 1 December 2014 to 31 January 2015.
GRI is inviting nominations for membership in its Board as follows:
- One casual vacancy commencing in April 2015 and ending on 31 December 2016
- Two full-term vacancies commencing in January 2016 and ending on 31 December 2018
Potential candidates should review the Rules and Procedures for the GRI Board of Directors closely, in order to familiarize themselves with what will be expected from Board members, qualifications needed to serve on the Board, how the Board operates, and how it relates to other GRI governance bodies.
Candidates for the Board should also review GRI’s New Governance Structure, a high-level overview of the organizational changes effective 31 January 2015. The document describes the new governance bodies that will be created, provides a description of the firewall principle, and outlines how the role of the current governance bodies is changing.
The GRI Nominating Committee (GNC), composed of three Board members and three Stakeholder Council members, agreed on the following selection criteria to evaluate candidates:
• Key criterion: experience and knowledge in the sustainability arena;
• Gender balance: with comparable experience and background, the preference would be given to a woman to ensure gender balance on the Board;
• Capacity of the individual to make strategically important connections;
• Availability of the individual to contribute to the Board and attend two Board meetings annually, as well as potentially participate in one or more Board committees;
• Constituency: to ensure a balanced representation on the Board of Directors, the GNC is looking for:
- a representative from the Mediating Institutions constituency to fill the casual vacancy commencing in April 2015
- a representative from the Business Enterprise constituency to fill the vacancy for a full-term commencing on 1 January 2016
- a representative from the Civil Society Organizations constituency to fill the vacancy for a full term commencing on 1 January 2016
Interested candidates should review the Rules and Procedures for the GRI Board of Directors and GRI’s New Governance Structure, and submit their Board Nomination Form, CV (max. 4 pages) and Employer’s Statement to GRI's Governance Relations Coordinator Maggie Lee by 31 January 2015.
The GRI Nominating Committee, composed of the Board and Stakeholder Council, will consider all applications and give a recommendation in the form of a nomination to the GRI Stakeholder Council. The Stakeholder Council is expected to make the final decision in early 2015.
